Terms of Service

By accessing or using IdentityFlow ("the Platform"), you agree to be bound by these Terms of Service ("Terms"), the Privacy Policy, and the NDPR Compliance Notice. If you do not agree to these Terms, you must immediately discontinue use of the Platform. These Terms constitute a legally binding agreement between you ("User") and Remitpro Ltd ("Remitpro", "we", "us"), a company incorporated in Nigeria under the Companies and Allied Matters Act (CAMA) 2020, with registered offices at Suite 26, Jam Nab Plaza, Ladoke Akintola Blvd, Garki 2, Abuja, FCT, Nigeria.

IdentityFlow provides a digital identity verification platform that facilitates: • NIN (National Identification Number) verification via the NIMC API • BVN (Bank Verification Number) linkage via NIBSS • Biometric liveness verification • Consent-based identity data sharing with Nigerian government agencies including BPE, NIMC, FIRS, PENCOM, CAC, and BPP • Virtual NIN (vNIN) generation per NIMC specification • Privacy oversight and data access logging The Platform is a technology intermediary. It does not issue identity documents, make final determination on identity verification, or constitute a government authority. All verification outcomes referencing government databases are subject to the accuracy of those registries.

You may use the Platform only if: • You are a Nigerian citizen, legal resident, or a corporate entity registered under Nigerian law (CAMA 2020) • You are at least 18 years of age (or of legal age in your jurisdiction) • You have the authority to submit the identity data and documents provided • The information you provide is accurate, current, and not fraudulent By submitting your NIN, BVN, or any identity document, you represent and warrant that the credentials belong to you and that you are authorised to use them for the stated verification purpose. Submission of another person's NIN or BVN without authorisation is a criminal offence under the NIMC Act 2007 and the Cybercrimes (Prohibition, Prevention, etc.) Act 2015.

IdentityFlow integrates with Nigerian government agencies subject to: • Your explicit, granular consent (obtained during the verification flow) • The data-sharing agreements between Remitpro Ltd and each agency • The agency's own data processing terms and applicable legislation By authorising an agency in the Agency Access Panel, you grant Remitpro Ltd permission to transmit the specified identity attributes to that agency on your behalf. You may revoke this authorisation at any time from your Privacy Dashboard, subject to ongoing statutory obligations (e.g., tax records retention under the FIRS Act). Remitpro Ltd does not control how authorised agencies process received data after transmission. Complaints about agency data handling should be directed to the relevant agency and the Nigeria Data Protection Commission (NDPC).

The vNIN generated by IdentityFlow is produced per NIMC technical specifications (16-character alphanumeric, 72-hour validity). Users acknowledge: • A vNIN is a tokenized representation and does not replace the permanent NIN for all legal purposes • NIMC is the sole authority for permanent NIN issuance and rectification • Remitpro Ltd generates vNINs under licence and subject to NIMC API usage policies • vNINs must only be shared with entities authorised by NIMC to receive them

You must not use the Platform to: • Submit fraudulent, forged, or stolen identity documents or credentials • Impersonate any person or entity • Attempt to gain unauthorised access to any component of the Platform or connected government systems • Reverse-engineer, scrape, or extract identity data from the Platform • Use the Platform for any purpose that violates Nigerian law, including the Cybercrimes Act 2015, NIMC Act 2007, or the Money Laundering (Prevention and Prohibition) Act 2022 • Circumvent access controls, verification steps, or consent mechanisms Violations may result in immediate account suspension, referral to relevant government agencies (NIMC, EFCC, NPF), and/or civil/criminal proceedings.

All software, design, content, trademarks, and documentation on the Platform are the property of Remitpro Ltd or its licensors. Nothing in these Terms grants you a right to use Remitpro Ltd's name, logo, or brand marks without prior written consent. You retain ownership of any personal data you submit. You grant Remitpro Ltd a limited, revocable licence to process that data solely for the purpose of providing the verification services described in Section 2.

The Platform is provided "as is" and "as available". To the fullest extent permitted by Nigerian law, Remitpro Ltd disclaims all warranties, express or implied, including: • Warranties of merchantability or fitness for a particular purpose • Guarantees that the NIMC, NIBSS, or CAC databases are accurate, complete, or up-to-date • Warranties that the Platform will be uninterrupted, error-free, or free of viruses Remitpro Ltd is not liable for delays or failures caused by NIMC, NIBSS, or other government API unavailability, or for incorrect data held in third-party registries.

To the maximum extent permitted by law, Remitpro Ltd's aggregate liability to you for any claim arising out of or related to these Terms shall not exceed the amount you paid to Remitpro Ltd in the twelve months preceding the claim, or ₦50,000 (fifty thousand Naira), whichever is greater. Remitpro Ltd shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of data, business, revenue, or opportunity, even if advised of their possibility.

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms shall be first subject to good-faith negotiation for 30 days. If unresolved, disputes shall be submitted to arbitration under the Arbitration and Mediation Act 2023 at the Lagos Court of Arbitration (LCA), conducted in English. The arbitral award shall be final and binding. Nothing in this clause prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction in Nigeria.

Remitpro Ltd reserves the right to modify these Terms at any time. Material changes will be notified to registered users via their verified contact details at least 14 days before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
